Terms of Service

These Terms of Service ("Terms") govern your use of the opslumFLOW Agent mobile application (the "App") and the opslum operations platform (together, the "Services"), provided by opslum, Inc. ("opslum", "we", "us"). By installing or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Who May Use the App

The App is a workforce tool for employees, contractors, and staff of organizations that subscribe to opslum (each, an "Organization"). You may use the App only with credentials issued by your Organization and only for your Organization's authorized operational purposes. You must be of legal working age in your jurisdiction.

2. Accounts and Security

Your account is created and managed by your Organization's administrator. You are responsible for keeping your login credentials confidential and for activity under your account. Notify your administrator or opslum promptly of any unauthorized use.

3. License

Subject to these Terms, opslum grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, solely in connection with your Organization's subscription.

4. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of your Organization's policies.
• Reverse engineer, decompile, or attempt to extract source code, except as permitted by law.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems.
• Upload unlawful, infringing, or harmful content.

5. Location and Permissions

The App requests location, notification, and (optionally) camera access to perform its functions, including sharing your position with your Organization's dispatch team while you are on duty. You control these permissions through your device settings. Disabling them may limit functionality. See our Privacy Policy for details on how location and other data are handled.

6. Seats, Billing, and Refunds

Paid plans are licensed on a per-seat basis. Your Organization purchases a number of user seats and is billed for all purchased seats for each billing period (monthly or annual), whether or not every seat is assigned to a user. The number of users your Organization can add is limited to the number of seats it has purchased.

• Adding seats: Your Organization may purchase additional seats at any time. Added seats are billed immediately, prorated for the remainder of the then-current billing period, and increase the seat limit right away.
• Reducing seats: Seat reductions take effect at the start of your next billing period. Purchased seats are paid for the current term and are non-refundable; we do not provide cash refunds or credits for unused or removed seats during a term.
• Annual plans: Annual seats are paid for the full year. Reductions apply at renewal; no partial-year refunds are provided.
• Free trials and promotions: Any free-trial period or promotional discount applies as described at signup and does not change the non-refundable nature of paid seats once a term begins.
• Taxes: Fees are exclusive of taxes, which your Organization is responsible for where applicable.

Except as expressly stated above or where required by applicable law, all fees are non-refundable.

7. Intellectual Property

The Services, including all software, content, and trademarks, are owned by opslum or its licensors and are protected by intellectual property laws. These Terms do not grant you any rights other than the limited license above.

8. Service Availability

We strive to keep the Services available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPSLUM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

11. Termination

Your access depends on your Organization's subscription and your relationship with the Organization. We or your Organization may suspend or terminate your access at any time. Upon termination, the license granted to you ends and you must stop using the App.

12. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws principles, except where local law requires otherwise.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
